Condizioni generali di contratto

Articolo 1. Scope and definitions

  • 1.1 These general terms and conditions apply to all use of the Loizoo platform, including the website www.loizoo.com, My Loizoo and the Customerzone. The platform is provided by Compart BV, with registered office at Beukenlaan 13, 9550 Herzele and enterprise number BE0824.043.209 (hereinafter “Loizoo”, “we” or “us”).
  • 1.2 “Merchant”: the company, association, school or other organisation that offers a loyalty programme to its customers, members, students or employees through the Customerzone. “User”: the natural person who uses a loyalty card through My Loizoo to collect points and redeem rewards. “Programme”: a merchant’s loyalty programme, with its points, rules and rewards.
  • 1.3 By creating an account or using the platform, you accept these terms. A merchant’s own terms and conditions do not apply to the relationship with Loizoo unless we expressly accept them in writing.
  • 1.4 How we process personal data is explained in our privacy statement at www.loizoo.com/privacy.

Articolo 2. Account and security

  • 2.1 You provide accurate and complete information and keep it up to date.
  • 2.2 You keep your password secret and are responsible for all actions taken through your account. We recommend enabling two-step verification. If you suspect misuse, notify us immediately at contact@loizoo.com.
  • 2.3 If you are under 13, you may only create a user account with the consent of a parent or guardian.
  • 2.4 We may suspend or close an account in case of misuse, fraud, a serious breach of these terms, or where the law requires us to. Where possible, we will notify you in advance.

Articolo 3. Loyalty programmes, points and rewards

  • 3.1 Each merchant sets the rules of its own programme, such as how points are awarded, which rewards are available and how long they are valid. The merchant is solely responsible for its programme and for granting rewards to users.
  • 3.2 Points have no monetary value. They cannot be exchanged for money or transferred to another merchant’s programme, unless the merchant expressly provides otherwise.
  • 3.3 If a merchant ends its programme or its use of Loizoo, the points in that programme may expire. Loizoo is not liable for a merchant’s decisions about its programme.
  • 3.4 It is prohibited to obtain points improperly, to manipulate or disrupt the platform, to query it in an automated way without our permission, to copy or decompile the software, or to use the platform for unlawful purposes.

Articolo 4. Subscriptions and prices

  • 4.1 A merchant chooses a free Starter subscription or a paid subscription. The features, limits and prices are those shown on the website or in the Customerzone at the time of ordering.
  • 4.2 Prices are stated in euros, excluding VAT, unless indicated otherwise.
  • 4.3 A paid subscription runs for the chosen period (monthly or yearly) and renews automatically for the same period unless the merchant stops it before the renewal. We send a reminder before each renewal.
  • 4.4 We may change our prices. A price change is announced at least 30 days in advance and only applies from the next renewal. The merchant may stop the subscription before that renewal.

Articolo 5. Payment

  • 5.1 Payments are processed by our payment service provider MultiSafePay. With the first payment, the merchant authorises us to collect subsequent renewals automatically using the same payment method.
  • 5.2 Invoices are sent electronically.
  • 5.3 If a payment fails, we notify the merchant and retry the payment. If the subscription is still unpaid 5 days after the due date, we may suspend the paid features until payment is received.
  • 5.4 In case of late payment, statutory interest under the Belgian Act of 2 August 2002 on combating late payment in commercial transactions is due automatically and without notice of default.
  • 5.5 Subscription periods already paid or started are not refunded, except in the cases set out in these terms or where the law requires it.

Articolo 6. Cancellation and termination

  • 6.1 A merchant can cancel its paid subscription at any time in the Customerzone. The cancellation takes effect at the end of the current, already paid period: until then the subscription remains fully usable and no further automatic payments are collected. The account then automatically switches to the free Starter subscription. While the paid period is running, the merchant can withdraw the cancellation.
  • 6.2 When moving to a smaller subscription, the limits of that subscription apply. Locations, rewards or users above those limits may be deactivated.
  • 6.3 A user can have their account deleted at any time by contacting contact@loizoo.com.
  • 6.4 We may terminate the agreement with a merchant with 30 days’ notice, or immediately in case of a serious breach of these terms. If we terminate the agreement without fault on the merchant’s part, we refund the amount for the remaining paid period.
  • 6.5 After termination, we handle data as described in our privacy statement. A merchant can request an export of its customer data before termination.

Articolo 7. Availability and changes to the platform

  • 7.1 We make reasonable efforts to keep the platform secure and available, but do not guarantee uninterrupted or error-free operation. Where possible, we announce planned maintenance in advance.
  • 7.2 We may develop the platform further and change features. If an essential feature of a paid subscription is removed as a result, we notify the merchant in advance and it may stop the subscription with a refund of the remaining paid period.

Articolo 8. Intellectual property

  • 8.1 The platform, software, design and the Loizoo brand remain the property of Loizoo or its licensors. You receive a limited, non-exclusive and non-transferable right to use the platform while your account is active.
  • 8.2 The merchant remains the owner of the content it adds, such as logos, images and texts. It grants Loizoo the right to use that content to the extent needed to provide the service, and warrants that it holds the necessary rights.

Articolo 9. Personal data

  • 9.1 For the data a merchant processes about its users in its programme, the merchant is the controller and Loizoo acts as processor. This article constitutes a data processing agreement within the meaning of Article 28 of the General Data Protection Regulation (GDPR).
  • 9.2 Loizoo processes that data only to provide the service and in accordance with the merchant’s instructions, as set out in these terms and in the settings of its programme. Persons with access to the data are bound by confidentiality.
  • 9.3 Loizoo takes appropriate technical and organisational security measures and notifies the merchant of a personal data breach without undue delay.
  • 9.4 The merchant authorises the use of sub-processors, such as hosting, email and payment providers. Their categories are listed in our privacy statement. We inform the merchant of any new sub-processor so that it can object.
  • 9.5 Loizoo assists the merchant with data subject requests and its other obligations under the GDPR, and makes available the information needed to demonstrate compliance.
  • 9.6 After the agreement ends, Loizoo deletes the programme data or returns it on request, unless the law requires it to be retained.

Articolo 10. Liability

  • 10.1 Loizoo’s obligations are obligations of means (best efforts).
  • 10.2 Towards merchants, our liability is limited to direct damage and to the amount the merchant paid to Loizoo in the 12 months before the event causing the damage. We are not liable for indirect damage, such as loss of profit, loss of customers or loss of data.
  • 10.3 We are not liable for merchants’ programmes and rewards, nor for failures of third-party services beyond our control, such as payment or telecommunication services.
  • 10.4 These limitations do not apply in case of intent, fraud or gross negligence, nor to the extent that mandatory law, such as consumer law, prohibits them.

Articolo 11. Changes to these terms

  • 11.1 We may change these terms. We announce important changes at least 30 days in advance by email or in the platform. If you do not agree, you can end your account or subscription before the effective date.

Articolo 12. Applicable law and disputes

  • 12.1 These terms are governed by Belgian law.
  • 12.2 Disputes with merchants fall under the jurisdiction of the courts of the judicial district of Loizoo’s registered office. For consumers, the statutory rules on jurisdiction apply.
  • 12.3 Questions about these terms can be sent to contact@loizoo.com.
